This Supplier Agreement (the “Agreement”) is entered into between Sasa Purerise Collective (the “Platform”, “we”, “us”) and the supplier named below (“Supplier”, “you”).

By registering as a supplier and accepting this Agreement, you confirm that you have read, understood, and agree to be bound by its terms.

1. Role of the Supplier

You supply hardware and related products to customers through the Platform. Orders are matched to you primarily based on the proximity of your registered depot or warehouse to the customer’s delivery location. You act as an independent supplier and are not an employee, partner, or agent of Sasa Purerise Collective.

2. Product listing rules

• You may list only products that you are legally entitled to sell and that fall within the hardware and home-improvement categories supported by the Platform.
• All product information (title, description, specifications, images, pricing, stock levels, and depot location) must be accurate, complete, and kept up to date at all times.
• You must maintain sufficient stock at each depot you have registered on the Platform.
• The Platform may edit, suspend, or permanently remove any listing that is inaccurate, misleading, out of stock, or that violates this Agreement or applicable law.
• You are solely responsible for ensuring that your products comply with all applicable quality, safety, labelling, and regulatory standards.

3. Order allocation and fulfilment

• When a customer places an order, the Platform allocates it to the nearest available supplier depot that can fulfil the order.
• Once allocated, the order appears on your supplier dashboard.
• You must confirm acceptance of the order within the time window stated on the Platform. Failure to do so may result in the order being re-allocated to another supplier.
• You are fully responsible for preparing, packing, and delivering (or arranging delivery of) the goods to the customer in accordance with the order details.

4. Payment terms (escrow-style release)

This section describes the core payment process used by Sasa Purerise Collective:

4.1 When an order is allocated to you, the full order value is displayed as “Pending” on your supplier page. The funds are held by the Platform and are not yet available for withdrawal.

4.2 The funds remain held by the Platform until both of the following conditions are satisfied:

• The customer has confirmed on the Platform that the goods have arrived and are accepted; and
• You have confirmed on the Platform that the goods have been delivered.

4.3 Once both parties have given their approval, the Platform will automatically release and transfer the net amount to the bank account you have registered on the Platform.

4.4 Platform Commission: A commission of 5% (five percent) of the total order value is automatically deducted from the customer’s payment and retained by the Platform as its service fee. The remaining 95% (after any other authorised deductions) is what will be released to you.

4.5 If either party disputes delivery, quality, or completeness of the order, the funds will remain held until the dispute is resolved in accordance with the Platform’s dispute-resolution process.

4.6 The Platform may also deduct any chargebacks, refunds, or other amounts owed before releasing the net balance to you.

4.7 You are solely responsible for declaring and paying any taxes due on amounts received under this Agreement.

5. Quality standards

• All products supplied must be new (unless clearly stated otherwise and pre-approved by the Platform), genuine, and free from material defects.
• Products must match the description, specifications, and images listed on the Platform.
• You must ensure proper packaging so that goods arrive in good condition.
• The Platform reserves the right to request product samples, conduct quality checks, or require removal of any products that fail to meet the required standards.

6. Returns and refunds

• Returns are handled in accordance with the Platform’s customer return policy as published on the website.
• If a return is accepted, the corresponding amount will be deducted from future payment releases or recovered directly from you.
• You must process approved returns promptly and update your stock levels accordingly.
• Defective, incorrect, or damaged items must be replaced or refunded as directed by the Platform.

7. Intellectual property

• You grant the Platform a non-exclusive, worldwide, royalty-free licence to use your product images, descriptions, trademarks, logos, and related content solely for the purpose of operating, promoting, and marketing the Platform.
• You retain full ownership of your own intellectual property.
• You must not use the Platform’s name, logo, branding, or any similar marks without prior written permission from Sasa Purerise Collective.
• You warrant that all content you upload does not infringe the intellectual property or other rights of any third party.

8. Liabilities and indemnity

• You are solely responsible for the quality, safety, legality, accuracy of description, and timely delivery of the products you supply.
• You agree to indemnify, defend, and hold harmless Sasa Purerise Collective and its officers, employees, and agents from and against any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or related to:
  • Defective, unsafe, or non-compliant products;
  • Incorrect, incomplete, or delayed deliveries;
  • Infringement of any third-party intellectual property rights;
  • Any breach of this Agreement by you or your personnel.
• The Platform’s total aggregate liability to you under this Agreement is limited to the total commissions and fees actually received by the Platform from orders fulfilled by you in the twelve (12) months preceding the claim.
• Neither party shall be liable to the other for any indirect, incidental, special, consequential, or loss-of-profit damages.

9. Platform’s rights over your account and listings

The Platform may, at its sole discretion and without prior notice where reasonably necessary, take any of the following actions:

• Suspend or permanently terminate your supplier account;
• Remove, edit, or suppress any of your product listings;
• Withhold pending payments while an investigation is ongoing;
• Re-allocate open orders to other suppliers;
• Require additional verification documents or information.

These rights may be exercised if you breach this Agreement, receive repeated customer complaints, supply defective or non-compliant goods, engage in fraudulent activity, or if the Platform reasonably believes such action is necessary to protect customers or the integrity of the marketplace.

10. Term and termination

• Either party may terminate this Agreement by giving thirty (30) days’ prior written notice to the other party.
• The Platform may terminate this Agreement immediately (or suspend your account) if you:
  • Commit a material breach of this Agreement;
  • Supply counterfeit, illegal, unsafe, or banned products;
  • Fail to deliver accepted orders on a repeated basis;
  • Engage in any fraudulent, abusive, or deceptive activity.
• Upon termination you must fulfil all outstanding orders that you have already accepted. Payments for orders that have been dual-approved (customer + supplier confirmation) will still be released according to the normal payment process.

11. General provisions

• This Agreement is governed by the laws of the Republic of Kenya (or the jurisdiction in which Sasa Purerise Collective is registered).
• The Platform may update this Agreement from time to time. Material changes will be notified to you via the Platform or by email. Continued use of the Platform after the effective date of any changes constitutes acceptance of the revised terms.
• You confirm that all information you provide (business registration details, bank account, depot locations, tax information, and contact details) is true, accurate, and will be kept current.
• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior discussions or understandings.
