These Terms and Conditions (“Terms”) govern your access to and use of the Sasa Purerise Collective website, mobile application, and related services (collectively, the “Platform”). By creating an account, logging in, or using the Platform in any way, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not create an account or use the Platform.

1. Eligibility and account types

• You must be at least 18 years old and have the legal capacity to enter into a binding contract.
• The Platform supports different account types, including:
  • Customer accounts (for placing orders)
  • Supplier accounts (for listing and fulfilling orders)
• When you register as a Supplier, you must also accept the separate Supplier Agreement, which forms part of these Terms.
• You may only open one account per person or legal entity unless we give written permission otherwise.

2. Account registration and login

2.1 To use most features of the Platform you must create an account. During registration you will be asked to provide accurate and complete information, including your full name, email address, phone number, and (for suppliers) business and bank details.

2.2 You are responsible for maintaining the confidentiality of your login credentials (email/username and password). You must not share your password with anyone.

2.3 You are fully responsible for all activities that occur under your account. If you suspect any unauthorised use of your account, you must notify us immediately.

2.4 We reserve the right to refuse registration, suspend, or permanently close any account at our sole discretion if we believe the information provided is false, incomplete, or if the account is being used in violation of these Terms.

2.5 You must keep your account information (including contact details, depot locations, and bank details) up to date at all times.

3. Acceptable use of the Platform

You agree that you will not:

• Use the Platform for any illegal, fraudulent, or harmful purpose
• Upload false, misleading, or incomplete product or personal information
• Attempt to gain unauthorised access to any part of the Platform, other users’ accounts, or our systems
• Interfere with or disrupt the operation of the Platform (including introducing viruses or malware)
• Scrape, harvest, or collect data from the Platform without our prior written consent
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Platform to send spam, unsolicited messages, or promotional material to other users
• Circumvent any security or access-control measures on the Platform

4. Orders, payments and fulfilment

• Customers place orders through the Platform. Orders are allocated to suppliers based on depot proximity and availability.
• Payment for orders is processed through the Platform. Funds are held until both the customer and the supplier confirm that the goods have been delivered and accepted.
• Once dual confirmation is received, the Platform releases the net amount to the supplier’s registered bank account after deducting the Platform’s 5% commission and any other authorised deductions.
• All prices displayed on the Platform are in the currency stated and may be subject to change without notice until an order is confirmed.
• Detailed payment, quality, and return rules for suppliers are set out in the separate Supplier Agreement.

5. User content and intellectual property

• You retain ownership of any content you upload (product images, descriptions, reviews, etc.).
• By uploading content, you grant Sasa Purerise Collective a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute that content for the purpose of operating and promoting the Platform.
• You must not upload any content that infringes the intellectual property or other rights of any third party.
• All Platform software, design, logos, trademarks, and original content remain the exclusive property of Sasa Purerise Collective or its licensors.
• You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written permission.

6. Privacy and data protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal information. By creating an account or using the Platform, you consent to the processing of your data as described in the Privacy Policy.

7. Suspension and termination of accounts

We may suspend or permanently terminate your account, and/or restrict your access to the Platform, at any time and without prior notice if:

• You breach any of these Terms or the Supplier Agreement
• You provide false or misleading information
• You engage in fraudulent, abusive, or illegal activity
• We are required to do so by law or by a competent authority
• We decide, in our reasonable discretion, that continued access would harm the Platform, other users, or our reputation

You may close your account at any time by contacting us or using the account deletion feature (where available). Closing your account does not relieve you of any outstanding obligations.

8. Disclaimers and limitation of liability

• The Platform is provided on an “as is” and “as available” basis. We do not guarantee that the Platform will be uninterrupted, error-free, or free from viruses.
• We are not responsible for the quality, safety, legality, or delivery of products supplied by independent suppliers, except as expressly stated in these Terms or the Supplier Agreement.
• To the maximum extent permitted by law, Sasa Purerise Collective’s total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim (or, if you are a supplier, the commissions we have received from your orders in that period).
• We shall not be liable for any indirect, incidental, special, consequential, or loss-of-profit damages.

9. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Platform. The updated Terms will take effect on the date stated in the notice. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

10. Governing law and disputes

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably. If resolution is not reached, the dispute shall be submitted to the competent courts of Kenya.
